Terms of Service

1. Introduction
Welcome to RockPay, Gibraltar's only cloud based payroll software. These Terms of Service ("Terms") govern your access to and use of the RockPay website, application and related services (together, the "Service").
RockPay is developed and licensed by AM Consultancy (Alejandro Munoz Lopez), business licence BL257697, Gibraltar GX11 1AA.
2. Definitions
- "Service" means the RockPay cloud payroll software and any related support services.
- "Customer", "you" or "your" means the person, company or entity that registers for and uses the Service.
- "Employee Data" means personal, payroll, tax and employment data you upload or enter into the Service about your employees.
- "Statutory Forms" means forms such as P7, P7A, P8, P10, P12 and other Gibraltar returns generated by the Service.
3. Acceptance of Terms
By creating an account, accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
4. Service Description
RockPay is a tool to help Gibraltar employers calculate payroll, PAYE under the Allowance Based System (ABS) or Gross Income Based System (GIBS), Social Insurance and related statutory forms. It is provided as a software aid only.
You remain solely responsible for verifying the accuracy of all calculations, payslips, reports and statutory forms before submitting them to the Gibraltar Income Tax Office, Employment Service, Social Insurance department or any other authority.
5. Account Registration
You must provide accurate, current and complete information when registering for the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use.
6. Subscriptions, Billing and Payment
The Service is offered on the subscription plans and prices shown on our Pricing page, billed in GBP. All fees are payable in advance unless otherwise agreed. Extra employees beyond your plan limit are billed at the rate shown on the Pricing page.
We may adjust prices with reasonable notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect. Refunds are provided only where required by law.
7. Customer Responsibilities
You agree to:
- ensure all Employee Data and payroll inputs are accurate, complete and lawful;
- use the Service only for lawful business purposes and in compliance with Gibraltar law, data protection law and employment law;
- obtain any necessary consents, give any required notices and comply with any obligations you owe to your employees;
- keep your own backups of critical payroll records outside the Service;
- not attempt to reverse engineer, copy, modify, distribute or resell the Service except as expressly permitted.
8. Intellectual Property
All software, code, designs, logos, databases, documentation and other materials that make up the Service are owned by AM Consultancy / RockPay. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your active subscription. You retain ownership of your own business data.
9. Confidentiality and Data
We treat your business and Employee Data as confidential and will use it only in accordance with these Terms and our Privacy Policy. You control who can access your account and are responsible for the actions of your authorised users.
10. Limitation of Liability
To the extent permitted by law, the total liability of AM Consultancy / RockPay for any claim arising out of or relating to the Service is limited to the total amount paid by you for the Service in the twelve months before the event giving rise to the claim.
We are not liable for any indirect, consequential, special, punitive or loss-of-business damages, including any error in statutory filings or payroll calculations that results from incorrect data entry or your failure to verify outputs.
11. Indemnity
You agree to indemnify and hold harmless AM Consultancy / RockPay and its representatives from any claims, losses, liabilities or expenses arising from your data, your use of the Service, or your breach of these Terms.
12. Termination
You may cancel your subscription at any time through your account settings. We may suspend or terminate your access if you breach these Terms or fail to pay fees when due.
After termination, you may export your data for a reasonable period. We may delete data after that period in accordance with our Privacy Policy and applicable legal retention requirements.
13. Governing Law and Disputes
These Terms are governed by the laws of Gibraltar. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Gibraltar.
14. Changes to These Terms
We may update these Terms from time to time. The latest version will always be posted on this page. Continued use of the Service after changes take effect means you accept the revised Terms.
